Ethos Listings Terms of Service

Terms of Service

Last Updated Date: 7/29/2025

‍

These Ethos Listings Terms of Service (“Listings Terms”) govern your acquisition, transfer, and redemption of a Digital Listing Pass (“Pass”) in connection with Ethos Listings, supplemental to the Ethos Network Terms of Service (“General Terms”). By participating in any auction, purchasing, transferring, or redeeming a Pass, you agree to these Listings Terms. In the event of a conflict, these Listings Terms shall govern exclusively with respect to Ethos Listings.

‍

1. Definitions; Service Overview

1.1 Definitions.‍

  • “Pass” means a non-fungible token (NFT) granting the holder the right to coordinate with Ethos for one (1) project, protocol, or product listing on the Ethos Network website for a twelve-month period.
  • “Listing Period” means the twelve-month term beginning on the date the Pass is redeemed.
  • “Expiration” means three (3) years after the Pass issuance date if not redeemed; after Expiration, the Pass becomes void.

1.2 Service Overview. Ethos Listings enables you to acquire a Pass through a Dutch auction. Redemption of the Pass is required within three years of issuance; redemption triggers immediate burning of the Pass, rendering it permanently non-transferable. Coordination for listing occurs solely via help.ethos.network.1.3 Ethos-Added Listings. Ethos reserves the right to add listings to the platform at any time without the purchase of an auction. Ethos retains full discretion to add, modify, or remove such listings at-will.

‍

2. Eligibility and Content Standards

  • Passes may only be used for upcoming or launching projects, protocols, or products. Individual persons or personal services are ineligible.
  • Ethos expressly reserves the right, in its sole discretion, to review, accept, or reject any listing at any time for content deemed illegal, misleading, infringing, harmful, or otherwise inconsistent with Ethos standards.

‍

3. Auction Mechanics; Purchase Terms

  • Passes are offered via a Dutch auction, where the price starts high and decreases over time; the first purchase triggers sale at the then-current price.
  • All sales are final and non‑refundable, regardless of redemption or expiration.
  • Ethos reserves the right to cancel, modify, suspend, or re‑run any auction at its sole discretion, including for safety, technical issues, or legal compliance.

‍

4. Transferability and Marketplace Handling

  • Passes are transferable NFTs, and may be resold via secondary markets.
  • A 5% fee on all secondary transfers will be automatically collected via the underlying smart contract.
  • Ethos is not responsible for actions, availability, or legitimacy of any external marketplace or wallet service.

‍

5. Expiration and Redemption

  • Passes expire if not redeemed within three years of acquisition.
  • Upon redemption, the Pass is burned and immediately rendered unusable for any purpose.

‍

6. Listing Coordination and Sponsor Obligations

  • Holders must coordinate their listing through help.ethos.network during the Listing Period.
  • Locked Listings: At the purchaser’s request, a listing may be locked for voting to prevent future voting during its 12-month term. However, the listing will remain displayed on the project profile as long as the listing functionality exists, unless otherwise determined by the Ethos team.
  • You are responsible for providing complete, accurate, and lawful information for your listing.
  • Ethos may request additional documentation or materials to confirm eligibility or quality, and reserves the right to remove a listing mid‑term if it violates these Listings Terms or the General Terms, with no refund.

‍

7. Minting and Promotional Passes

  • Promotional Use: Ethos may mint additional Listing Pass NFTs for promotional purposes or airdrops, at its sole discretion.
  • Limits: Ethos commits that the number of promotional or airdropped Pass NFTs will never exceed the total number of passes purchased through auctions. Promotional NFTs are intended to remain limited in use.

‍

8. Intellectual Property; License to Display

  • You retain ownership of your project’s content but grant Ethos a worldwide, non‑exclusive, royalty‑free license to reproduce, display, and promote the content for the duration of the Listing Period.
  • Any use of logos, trademarks, or other third‑party content requires you to have all necessary rights.

‍

9. No Warranty; Limitation of Liability

  • The Pass and listing are provided “as is,” with no warranties—express or implied—including accuracy, fitness for purpose, visibility, or success of listings.
  • To the fullest extent permitted by law, Ethos and its affiliates shall not be liable for any direct, indirect, special, incidental, punitive, or consequential damages arising out of your participation in Ethos Listings or related activities.

‍

10. Indemnification

You agree to indemnify, defend, and hold harmless Ethos, its affiliates, officers, directors, and employees from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the Pass, your listing content, or your violation of these Listings Terms or the General Terms.

‍

11. Taxes

You are solely responsible for determining and paying any applicable taxes, duties, or fees associated with the purchase, transfer, or redemption of a Pass, including secondary sales. Ethos makes no representations regarding tax treatment of Pass transactions.

‍

12. Force Majeure

Ethos shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, blockchain network disruptions, smart contract failures, cyberattacks, or changes in applicable laws or regulations.

‍

13. Privacy and Public Data

Participation in Ethos Listings occurs via public blockchain interactions. Wallet addresses, transactions, and ownership records are publicly visible and are not controlled by Ethos. Ethos does not collect or store KYC information for participants.

‍

14. Compliance Disclaimer

The Pass is a digital utility token granting access to a service. It is not a security, investment product, or financial instrument, and should not be purchased for speculative or financial gain.

‍

15. Governing Law; Dispute Resolution

These Listings Terms are governed by Delaware law, without regard to conflict-of-law principles. Any dispute related to Ethos Listings shall be handled in accordance with the dispute resolution provisions set forth in the General Terms.

‍

16. Amendments

Ethos may update these Listings Terms at any time. Continued participation in auctions, transfers, or redemptions subsequent to any update constitutes your acceptance of the revised terms.‍

‍

By purchasing, transferring, or redeeming a Listing Pass, you acknowledge that you have read, understood, and agree to abide by these Listings Terms and the General Terms governing Ethos Network activity.
